U.N. chief names East Timor's Ramos-Horta envoy to Guinea-Bissau

UNITED NATIONS (Reuters) - U.N. Secretary-General Ban Ki-moon on Monday named Nobel Peace prize laureate and former president of East Timor, Jose Ramos-Horta, as his special representative to Guinea-Bissau, a West African nation that has become a narcotics hub.

Ramos-Horta will assume the post once the current envoy in Guinea-Bissau, Joseph Mutaboba of Rwanda, completes his term on January 31, 2013, the United Nations said in a statement.

Cocaine trafficking through drug hub Guinea-Bissau is spreading unabated amid turmoil sparked by an April military coup that has slashed the country's key cashew crop and almost halved its economic growth, the United Nations said in a report to the U.N. Security Council earlier this year.

Ramos-Horta survived an assassination attempt in 2008. He shared the Nobel prize in 1996 for working toward a peaceful solution to the East Timor conflict and his key role in the country's movement for independence from Indonesia.

Ramos-Horta was president of East Timor from 2007 to 2012. He lost a re-election bid earlier this year.

A Limited Liability Company (LLC) is an unincorporated business entity that merges various aspects, mostly positive, of partnerships and corporations. LLCs3049017_f260 facilitate America?s capitalist spirit by allowing entrepreneurs to create separate legal entities that generally remove personal liability of their members, or owners, to third parties. While there is a federal Uniform Limited Liability Company Act (ULLCA) in place, these codes are not law until states ratify them as state statutes. Many states have adopted most or all of the ULLCA?s codes, however, it must be noted that individual LLC laws may vary slightly from state to state but are generally quite similar for the purposes of an overview.

Forming A LLC: Articles of Organization & Articles of Amendment

?? ? ? ? ?Most LLCs are formed to start a business. In order to do so, the process must be followed as according to the respective state?s statutes and this involves articles of organization. These articles are the documents that are to be filed in the state where the LLC is being formed and are absolutely crucial to the process. Under UCLLA ? 203, the articles of organization must include certain information including the LLC?s name, contact information of each organizer, whether or not an LLC is at-will (meaning it has no duration) or a term LLC (meaning it has a definite duration), and perhaps one of the most important items ? ?whether one or more of the members of the LLC are to be personally liable for the LLC?s debts and obligations?. If they chose to do so, members of an LLC can also include additional terms and can file an articles of amendment with the state if they wish to change anything at a later time.

LLC Costs & Certificate of Interest

?? ? ? ? ?After the members of an LLC file, they must choose what each of them will contribute for the operational and start-up costs of the LLC. This doesn?t include just cash;? all sorts of other property can be considered such as promissory notes, intangible property, contracts for service, etc. Upon contributing t3049021_f260o a LLC, each member will receive a certificate of interest that proves they have ownership interest. Under ULLCA ? 405(a), the profits and losses of an LLC are to be ?allocated on a per capita basis?. However, this can be modified by the LLC operating agreement and certainly proves useful in situations where, for example, one member contributes 30% capital and the other contributes 70%. Chances are, the member contributing 70% does not want to equally share the profit with the member who holds less interest. If a member of an LLC does not make a contribution as contracted, the other members of the LLC may seek out remedies for damages and losses.

The Liability and Protection of LLCs

?? ? ? ? ?LLCs have the ability to protect their members from many third party claims as they create a separate legal entity. Therefore, under ULLCA ?302, a LLC is3049026_f260 liable for losses and injuries that occur as a result of a wrongful action by a person directly associated with the LLC (member, employee, etc.) that occurs during the ?normal course of business.? This means, that if 3 members each contribute an amount to their LLC and the company goes out of business while simultaneously incurring a debt that is larger than the original amount of funds contributed by the members, creditors will not be able to pursue individual members to collect on their debts outside of the LLC. An exception to this rule is if an appointed manager or member of the LLC commits a tortious act. They would be considered a tortfeasor and could be held personally liable for their behavior.

The Dissolution of LLCs : Winding-Up & Articles of Termination

?? ? ? ? ?LLCs do not always go as planned, and whether this is due to poor management or other economic troubles, they sometimes need to be dissolved. Under ULLCA ? 602(b), a member may withdraw from an LLC, unless otherwise specified in the original agreement. If a member withdraws before the term LLC expires or withdraws when the original agreement specifically disallows this action, then the member has engaged in a wrongful disassociation. In this instance, that member would be liable by damages caused to the LLC from the disassociation. As with all the other activities in forming and operating an LLC, a statement of disassociation must be filed with the state to ensure that the member?s name is removed from the articles organization. When an LLC is dissolved, or terminated by all of the members, the LLC must participate in ?winding-up?. This means, that the LLC must pay off all the creditors and any money left over can be divided amongst the members as provided in the original operating agreement. Lastly, they must file articles of termination with the state to officially dissolve the LLC.

Fuzzy Noel

Ingredients

  • 1/3 cup orange juice
  • 1 cup sparking water?
  • 3/8 teaspoon almond extract
  • Crushed ice

Directions

  1. Blend sorbet, juice and extract until smooth.
  2. Stir in sparkling water.
  3. Pour over crushed ice and serve.

Virgin Bloody Mary

Ingredients

  • 1 can tomato juice?
  • 1 ounce lime juice
  • 3 ounces club soda?
  • 3 dashes of Worcestershire sauce
  • 2 pinches cumin powder?
  • 1 shake of celery salt
  • 1 teaspoon horseradish

Directions

  1. Mix all ingredients except club soda into a large pitcher.
  2. Salt the rim of a highball glass.
  3. Add club soda to glass, then add the Bloody Mary Mix (from step 1).

Ingredients

  • 2 ounces Sweet & Sour mix

  2. Mix until desired thickness.
  3. Pour into a tall glass and top with whipped cream.

Tommy O?Collins

Ingredients

  • ? cup club soda ?
  • 1 and a half tablespoons lime juice
  • 1 teaspoon rum extract?
  • 1 to 2 packets sweetener
  • 1 to 2 ice cubes

Directions

  1. Combine ingredients in blender.
  2. Blend on high for 10 seconds until light and frothy.
  3. Pour over ice into tall glass.
  4. Makes one 8 ounce serving.

Sweet and Sassy Mary

Ingredients

  • 1 cup vegetable cocktail juice?
  • 1 to 2 packets sweetener
  • 1 dash celery salt??
  • 1 dash Worcestershire sauce
  • 2 drops Tabasco??
  • 1 lime wedge
  • 1 cucumber spear for garnish

Directions

  1. Combine all ingredients, except lime and cucumber, in an old-fashioned glass and stir well.
  2. Squeeze lime wedge over mixture and add wedge to drink.
  3. Stir and garnish to serve.

Bald Bishop

Ingredients

  • 1 ounce chilled orange juice
  • 1 and one half ounces lemon juice
  • 1 teaspoon sugar??
  • De-alcoholized burgundy or other non-alcoholic wine

Directions

  1. Fill tall glass halfway with ice.
  2. Add orange juice, lemon juice and sugar.

(AP) ? Survivors of a bus crash that killed nine people on a partly icy section of interstate in rural Eastern Oregon said Monday some passengers were thrown from the vehicle through broken windows after it skidded out of control, smashed through a guardrail and plummeted 200 feet down an embankment.

When the tour bus came to a rest, terrified passengers looked around for their loved ones.

"Some mothers screamed to find their son or daughter," said Jaemin Seo, a 23-year-old exchange student from Suwon, South Korea.

The charter bus, owned by a British Columbia company, crashed Sunday just east of Pendleton while returning to Canada from Las Vegas ? one of the stops on a nine-day western tour.

Aboard were 48 people, some of them exchange students from South Korea. Some passengers were from British Columbia, and some from Washington state. Investigators say there also may have been a Japanese passenger and one from Taiwan, and they're working with consular officials from those nations to identify them.

The survivors, who range in age from 7 to 74, were sent to 10 hospitals in Oregon, Washington and Idaho. At least 10 were released Monday, police said.

Authorities said Monday it could be a month or more before investigators and prosecutors decide whether to file any charges against the bus driver, a 54-year-old Vancouver, B.C., man who was among the injured. He has spoken with investigators, Lt. Gregg Hastings said.

The bus was traveling westbound in the left lane of Interstate 84 when it hit a concrete barrier, veered across both westbound lanes and plunged through the guardrail and down the embankment, Hastings said. Police haven't determined how fast the bus was going when it struck the center barrier.

The crash occurred near a spot on the interstate called Deadman Pass, at the top of a steep, seven-mile descent from the Blue Mountains. That section of road is so notorious that state transportation officials published a warning for truck drivers saying it has "some of the most changeable and severe weather conditions in the Northwest."

Still, Oregon Department of Transportation spokesman Tom Strandberg said that while there were icy spots where the crash occurred, it was nothing unusual for this time of year.

He said a sanding truck had applied sand a few hours earlier and was behind the bus making another run when the crash occurred. The sand truck driver was among the first at the scene.

The highway has been shut down several times this winter, mostly due to crashed trucks blocking the roadway, Strandberg said. A decision to close the road or require chains is made by the local maintenance crew, he said.

Seo said he was awakened by screaming and was ejected from a broken window as the bus careened down the hill. Seo had a broken ankle, a gash in his arm that required stitches and shallow scratches across his face. He is an exchange student from South Korea studying in Vancouver, British Columbia.

Berlyn Sanderson, 22, of Surrey, British Columbia, said she also was thrown from the bus.

"It's kind of like one of those dreams you have of the world ending," Sanderson told reporters.

Rescuers faced the challenge of bringing survivors 200 feet up a steep cliff, Pendleton Fire Chief Gary Woodson said. They descended the hill and used ropes to help retrieve people from the wreckage in freezing weather.

Some survivors were carried on backboards by six or eight rescuers. Others were hoisted in baskets, and an all-terrain vehicle arrived toward the end of the operation, Woodson said.

Officials said 39 people were taken to hospitals, and 10 of them had been treated and released.

The National Transportation Safety Board said two investigators were expected to arrive at the crash site Monday. They will look into why the bus left the road, the condition of the road at the time, the condition of the guardrail, the actions of the driver, and the operations of the company that owns the bus, the agency said.

The Oregonian newspaper quoted one survivor, 25-year-old Yoo Byung Woo, as saying he and some other passengers thought the driver was "going too fast."

"I worried about the bus," Yoo said, adding it was snowing and foggy at the time. He said one rider was frightened and asked if they could take another route. Some passengers were dozing when the driver slammed on the brakes.

Yoo said rocks smashed through windows after the bus crashed through the guard rail and rolled down. The NTSB said the bus rolled at least once.

Umatilla County Emergency Manager Jack Remillard said the bus was owned by Mi Joo Tour & Travel in Vancouver, B.C.

A bus safety website run by the U.S. Department of Transportation said Mi Joo has six buses, none of which have been involved in any accidents in at least the past two years.

A spokesman for the NTSB, Peter Knudson, said seatbelts aren't required on such buses. "We have been concerned about this for some time," Knudson said.

The local Red Cross shelter has been offering food, clothing and hotel arrangements for survivors as they are released from the hospital. Passengers' relatives also have gone to the shelter, seeking information about their loved ones.

Jake Contor, a Pendleton resident who speaks Korean and helped translate for the Red Cross, said he had spoken with several of the survivors.

"The stories have been fairly consistent: braking, swerving, sliding on the ice, hitting the guardrail, then sliding down the embankment," Contor said.

He said the victims told him the bus left Boise, Idaho, on Sunday morning and was supposed to arrive in Vancouver that night. The survivors who spoke to Contor were seated at the back of the bus and said it appeared that the front and center of the coach sustained the most damage.

The interstate links Boise and Portland through the Blue Mountains and the Columbia Gorge.
